Terms of Service

1. Acceptance of Terms
By creating an account or using Funnl (the “Service”), you agree to these Terms. If you are using the Service on behalf of a clinic or healthcare organization, you agree to these Terms on behalf of that entity.
2. Nature of the Service (Clinical Disclaimer)
Funnl is a tool, not a doctor.
Support, Not Substitution: The Service is a Clinical Decision Support (CDS) tool designed to assist licensed healthcare professionals. It is not a substitute for professional medical judgment.
Licensee Responsibility: You acknowledge that the final disposition and care advice provided to any patient is the sole responsibility of the attending nurse or provider. You retain full authority to override, upgrade, or downgrade any suggestion made by the Service.
No Liability: Funnl Software, Inc. assumes no liability for adverse medical outcomes resulting from the use of this software.
3. Intellectual Property
Funnl IP: The interface, “Gatekeeper” logic, code, and “Stateless” architecture are the exclusive property of Funnl Software, Inc.
Schmitt-Thompson IP: The clinical protocols (questions, dispositions, care advice) displayed within the Service are licensed from Schmitt-Thompson Clinical Content, LLC. You may not copy, scrape, or redistribute this content outside of the Service.
4. Subscription & Access
Authorized Use: Accounts are for licensed clinical staff only. Sharing credentials between multiple users is strictly prohibited.
Termination: We reserve the right to terminate access immediately if we detect suspicious activity, scraping of clinical content, or violation of these terms.
5. Limitation of Liability
To the maximum extent permitted by law, Funnl Software, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, resulting from your use of the Service. In no event shall the total, aggregate liability of Funnl Software, Inc. to you for all damages, losses, and causes of action exceed the total amount paid by you to us for the Service during the twelve (12) months immediately preceding the claim.
6. Warranty Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Funnl Software, Inc. expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
7. Indemnification
You agree to indemnify, defend, and hold harmless Funnl Software, Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your medical/clinical decisions and patient outcomes.
8. Governing Law
These Terms are governed by the laws of the State of Delaware.
